We have participated as advisors for venture capital companies in some of the most important company acquisition operations that have taken place over the last few years.

We also provide legal advice to national and international companies. We fully integrate with client work teams and have solid experience in preparing and negotiating all types of contracts.
FINANCE/INSURANCE
Our lawyers offer assessment services for banking, financing and investment activities. Our clients, amongst others, are national and international credit entities, insurance companies and institutional investors.
We have extensive experience in structured and corporate syndicated or bilateral finance, securities, regulatory law, export financing, project finance, money laundering prevention and stock markets.
We offer global assessment both for regulated and unregulated markets, including private and public tenders, stock-exchange listed companies, supervisor relationships, stock market regulations and supervision and organisation of private insurance, re-insurance operations, creation and modification of rules for credit entities and insurance companies and cross-border mergers of insurance companies.
TAX
Our Tax Department gives advice to companies and individuals with regards to the tax implications on their activity and heritage, with special emphasis on tax planning on both a national and international level.
Advisory services are also available to clients with regards to their relationship with the Tax Administration, representing them in management and collection services and defending their interest in Tax Inspections as well as in Administrative or Legal Proceedings.
Our Tax Department Works alongside our other departments to ensure that our clients receive global advisory services for planning and managing their business.
LABOUR
The Firm advises both national and international companies in all matters relating to labour regulations and social security.
Advice includes employment strategy and planning, staff restructuring, dismissals, pension plans and employment regulation cases.
This area of practice also prepares employment contracts, labour inspections and proceedings, collective labour agreements, discrimination, social security and equality plans, risk prevention and labour audits.
LITIGATION AND ARBITRATION
Vialegis Dutilh Abogados has a team of professionals with extensive experience in the management of all legal proceedings (civil, corporate, criminal, etc.) before national and European courts.
The Firm has also proven experience in the prevention of conflicts by means of negotiating with the opposing party, avoiding law suits, as well as providing assessment on preventative measures that could avoid possible conflict such as inserting clauses in contracts that in the event of conflict can neutralize or minimize risks.

ADMINISTRATIVE AND ENVIRONMENT
Our Administrative and Environment Department has a team of professionals with extensive experience in legal advice and handling of all types of public proceedings and administrative suits as well as providing advisory services to private companies and public administrations.
Services cover all administrative matters amongst others: administrative procurement, tenders, subsidies, expropriator proceedings, sanctions and patrimonial responsibility.
These advisory services also include environmental, mining and energy, and urban planning law.
The Firm also specializes in the assessment of all types of companies that save information about individuals, performing audits to verify the compliance to the law in force and representing clients in administrative disputes with the Spanish Agency for the Protection of Data [Agencia Española de Protección de Datos (AEPD)] or higher jurisdiction.
REAL ESTATE
The Firm assesses its clients on real estate operations in diverse sectors such as offices, commercial and recreational centres, hotels, residential and land on a national and international basis.
We offer global legal assistance that includes the evaluation of all phases of the real estate process in close cooperation with the Tax and Finance Departments with the objective f providing the most appropriate legal, financial and tax structure possible adapting to the interests and security of our clients.

COMPETENCE AND EUROPEAN LAW
Our clients benefit from a complete Competence Law advisory service in matters such as restrictive competence settlements and misuse of dominant positions.
Legal advice and representation is also provided in claims for damages caused by anti-competence activities. We develop internal programmes of legal auditing and compliance to Competence Law regulations.
With respect to European Law, the Firm provides advisory services for free establishment and circulation of goods, services and capital.
NEW TECHNOLOGY
Vialegis Dutilh Abogados has participated in numerous purchase/sale, holdings, merger, acquisitions, finance and crisis or bankruptcy situation operations for New Technology companies to such an extent that a Department specialising in this business area has been created.

ECONOMIC AND COMPANY CRIMINAL LAW
The Firm has proven experience in Economic and Company Criminal law proceedings both in defence and prosecution.
The Department responsible for this area has two specialists; one in Criminal Law and the other orientated towards the matters subject to legal allegations such as tax, urban planning, environmental, company or against workers rights offences.
Legal assessment of criminal liability is also preventative above all for corporate company criminal liability set forth in the new Penal Code.
INDUSTRIAL AND INTELLECTUAL PROPERTY
The Firm has extensive experience in matters relating to the industrial and intellectual property rights as well as the preventative assessment and negotiation of contracts such as legal defence in legal proceedings due to the infringement of said rights and, in particular, acts of unfair competition.
